Recently, Suzhou Oriental Semiconductor Co., Ltd. (hereinafter referred to as “Oriental Semi”) announced its plan to acquire a controlling stake in Shenzhen Hynetek Semiconductor Technology Co., Ltd. (hereinafter referred to as “Hynetek”).
This M&A is not a simple expansion of scale, but a strategic move to build a full “control-drive-execution” industrial chain with protocol chips and digital energy control ICs as dual cores.
Targeting the trend of advanced energy digitalization, the acquisition will fill key gaps in digital control and drive the strategic upgrade from “power devices” to “system solutions”.


Protocol Chip: A cash cow business that defines the “core” standard for fast charging
Hynetek ‘s protocol chips adopt its proprietary technological solution, which integrates peripheral components such as MOSFETs into a single chip, achieving a “single-chip, zero-peripheral” design.
The company is a major supplier in the mainstream adapter market below 65W with its fast-charging protocol chips, and is also a key domestic provider of E-marker chips.
Its products have entered the supply chains of leading customers including Lenovo, Xiaomi and Samsung.

Hynetek ‘s customer base overlaps significantly with the Company’s medium and low voltage MOSFET customer base. It is expected to reach a broader customer base through the Company’s channels and customer resources. Meanwhile, with the further popularization of the PD fast-charging protocol, the products are expected to penetrate more emerging application fields, such as drones, electric tools, home appliances and other new scenarios, further expanding the market coverage of high-quality products.

Hynetek’s products can form strong synergy with driver chips and the Company’s high-performance power device products, filling the domestic shortage of high-end digital energy control chips.
For Oriental Semiconductor’s extensive existing customer base in high-performance power supplies, the Company will provide overall solutions based on high-performance power devices plus digital control ICs, delivering greater value to customers.
Industrial Synergy: Building a Golden Triangle of “Control – Drive – Execution”
Oriental Semiconductor ‘s strength lies in its high-performance “execution” units — high-performance power devices, while Hynetek provides the top-level “control” units (digital control ICs) and key “drive” units.
Combined, the three form a complete “control-drive-execution” full-link solution spanning signal processing, logic control and power output.
This will help the company upgrade from a pure supplier of power devices to a provider of system solutions for next-generation digital energy management systems.
Upon the completion of this transaction, both parties are expected to fully leverage synergies.
Relying on Hynetek’s outstanding R&D team (whose core members are from world-leading power IC designers including Analog Devices (ADI) and Texas Instruments (TI), with nearly 20 years of experience in digital power development), as well as the Company’s device technology, brand and channel resources, the two parties will jointly promote products to enter high-potential markets for next-generation digital energy management systems and provide integrated solutions ranging from chips to modules.
This transaction will help the Company continuously enrich its product portfolio and consolidate its core competitiveness. It aligns with the Company’s long-term strategy and industry development trends, laying a solid foundation for the enhancement of long-term corporate value and high-quality development.
Upon the completion of this transaction, Hynetek will become a consolidated subsidiary of the Company and be included in the scope of the Company’s consolidated financial statements. The transaction will be funded by the Company’s own funds and/or self-raised funds (including bank borrowings). It will not affect the Company’s normal production and operation, nor will it have a material adverse impact on the Company’s financial position and operating results. There is no circumstance impairing the interests of the Company and its shareholders, especially minority shareholders.
